micro1 is engaging Private Equity & Investment Funds Attorneys to contribute to a customer project focused on complex transaction documentation and investment fund matters. In this role, you'll apply your expertise to help train next-generation AI systems. Your work will shape how models learn, reason, and perform through high-quality, real-world input. No prior experience in AI is required — your domain knowledge is what matters.
Scope of Work
Review and annotate a diverse range of transactional agreements, including MSAs, SPAs/APAs, DPAs, LPAs, side letters, and NDAs, ensuring accuracy and practical insight.
Analyze and provide structured feedback on credit agreements, banking documents, SaaS/cloud technology service agreements, leases, employment agreements, and IP/technology licenses.
Contribute expertise on investment funds, asset management, private equity, M&A, and corporate/commercial law, focusing on the nuances of contract negotiation and drafting.
Evaluate and clarify legal language to improve the understanding and application of contractual terms for advanced AI learning frameworks.
Draft sample clauses and identify key risk areas in legal contracts, supporting the creation of robust training data sets.
Stay attuned to sector-specific trends in data privacy, cybersecurity, and technology transactions, providing context as needed for AI system accuracy.
Collaborate with other legal professionals to benchmark agreement standards and highlight best practices for learning materials.
Preferred Qualifications
JD from an accredited law school is strongly preferred; LLM may be considered with exceptional relevant experience.
8+ years of experience in private equity, investment funds, M&A, or asset management legal practice with significant responsibility for complex agreements.
Demonstrated expertise with a variety of transactional documents, including MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
In-depth knowledge of contract-heavy work in the investment funds, banking & finance, technology/SaaS, and data privacy sectors.
Exceptional written and verbal communication skills, with a focus on clarity and precision in legal drafting and analysis.
Ability to synthesize complex legal concepts for varied audiences and leverage attention to detail in all deliverables.
Familiarity with emerging trends in technology contracts, data privacy, and cloud services is a plus.
